RSL is the platform provider — we build, license, and back the Software (delivered as a lab snapshot with source code / Beta-version framework for developers). Each Order grants one of two mutually exclusive license types (one or the other, not stacked):
RSL does not perform a Delivery Partner's client implementations and does not support a Delivery Partner's end clients.
A Delivery Partner represents it has the core technical expertise to prepare, deliver, and support sovereign AI infrastructure independently (for example, in-house engineering and systems-integration or infrastructure experience). Approval is at RSL's sole discretion and requires identity verification (KYC) and qualification review.
Delivery Partner: preparing and staging client Enterprise deployments; ensuring every client deployment is covered by its own purchased Enterprise License; using its single Partner installation solely to prepare for and support client Enterprise installations until the Partner has sold at least one (1) client Enterprise installation (after which the Partner may also use its single Partner installation internally); providing client assessment, deployment, configuration, and first-line client support; operating self-sufficiently as developers using the lab-snapshot Source and AI tooling; and making accurate representations about its capabilities.
RSL: provide the Software lab snapshot with Source per the approved Order and reasonable-measure support — not hands-on custom integration, and not coverage for a Partner's lack of core developer expertise.
Enterprise: operate its single licensed installation (with unlimited agents assigned to that single installation) for its own internal business operations; RSL supports in reasonable measure (base install and configuration, AI-assisted or by RDP).
Every account is subject to RSL's review of the applicant, identity verification (KYC), and execution of this Agreement and the Software License Agreement. No access, license, or provisioning occurs until review, KYC, and signing are complete.
The parties are independent contractors; nothing creates a partnership, agency, or employment relationship. A Delivery Partner has no authority to bind RSL, and the Partner's agreements with its clients are solely the Partner's responsibility.
You will represent the Software accurately (including its nature as an "AS IS" lab snapshot with source code / Beta developer framework), not disparage RSL, and comply with law.
As set in the Software License Agreement (Sections 11 and 12 — perpetual license upon approval and delivery; no backing out, no cancellation, and no refunds; California law, San Diego County venue).
Accepted electronically by the authorized signer named in the application or Order.
