"Software" = the Nomad AI platform, its components, Source, binaries, models, and documentation RSL makes available (delivered as a lab snapshot with source code / Beta-version developer framework). "Source" = human-readable source code included with the Software. "Enterprise" = a licensee holding an Enterprise License to run a single installation of the Software for its own internal business operations (whether purchased directly from RSL or deployed through an approved Delivery Partner). "Delivery Partner" = an independent firm qualified and approved by RSL holding a Delivery Partner License to prepare, stage, deploy, configure, and support client installations of Enterprise Licenses. "Order" = the ordering document, checkout record, or invoice specifying the license type (Enterprise or Delivery Partner), products, and fees.
Each Order grants one of two distinct, mutually exclusive license types — either an Enterprise License or a Delivery Partner License (one or the other, not stacked):
(a) Enterprise license. A perpetual, non-exclusive, non-transferable license to install and run a single installation of the Software (with unlimited agents assigned to that single installation) on hardware the Enterprise owns or controls, solely for the Enterprise's internal business use.
(b) Delivery Partner license. For an approved Delivery Partner, a perpetual, non-exclusive, non-transferable license to install and run a single Partner installation of the Software (with unlimited agents assigned to that single installation, and access to Source) for the purpose of preparing, staging, configuring, and supporting client installations of Enterprise Licenses (each client deployment requires its own separately purchased Enterprise License). Until the Delivery Partner has sold at least one (1) client Enterprise installation, the Partner's installation is strictly for preparing and supporting client Enterprise installations; once the Delivery Partner has sold at least one (1) client Enterprise installation, the Delivery Partner may also use its single Partner installation internally for the Delivery Partner's own business operations, subject to Sections 3, 4, and 5.
Single installation; unlimited agents. Each license is strictly for one (1) single installation with unlimited agents assigned to that single installation. Every client deployment and every additional installation requires its own separate Enterprise License.
You will not install or run the Software on more than one (1) single installation per license; deploy the Software for any client without a valid Enterprise License purchased for that client installation; use a Delivery Partner installation for internal business operations before selling at least one (1) client Enterprise installation; resell, sublicense, or distribute the Software or Source except as an approved Delivery Partner delivering a licensed client Enterprise installation; remove proprietary notices; or publish or use the Software or Source to build or market a competing commercial product. An Enterprise license is strictly for the Enterprise's own internal installation and includes no client-delivery, resale, or redistribution rights.
Because the Software is delivered as a lab snapshot with Source, Source is provided so Enterprise developers (for their single internal installation) and approved Delivery Partners (for preparing and supporting licensed client Enterprise installations, and for internal Partner use once the Partner has sold at least one client Enterprise installation) can operate, extend, and support their licensed installation self-sufficiently. Source is RSL Confidential Information, licensed (not sold) strictly within the scope of Section 2; it may not be published, open-sourced, redistributed, or used outside a licensed installation.
RSL retains all right, title, and interest in the Software and Source. No rights are granted except those expressly stated.
Fees, license type, and products are set in the Order. All license fees are one-time, final, and non-refundable upon license approval and delivery.
RSL provides support in reasonable measure. The Software is designed for self-service by developers: base install and configuration can be performed by the licensee (including with AI assistance) or via a remote (RDP) setup session by RSL. RSL is not obligated to perform integration work with your existing systems, nor to support a Delivery Partner's end clients. Integrations beyond base install and configuration are a separate consulting engagement or Partner service.
Every license is subject to RSL's approval and to identity verification (KYC) — including any license purchased online. Licenses are granted only at RSL's sole discretion, after RSL's review and identity verification / KYC of the applicant and the individual(s) authorized to bind the Licensee, and execution of this Agreement and the Engagement Agreement. RSL may require KYC, business verification, and supporting documentation as a condition of approval and may decline any application prior to provisioning.
Where payment is taken before approval, it reserves your place in RSL's review queue and does not by itself grant a license or any right to receive or use the Software. Once RSL approves and provisions the license, the transaction is final and non-refundable (if RSL declines an application prior to approval and delivery, RSL will return the unapproved queue payment).
The Software is provided "AS IS" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Software is a lab snapshot with source code and should be considered a Beta-version framework for developers. Licensee assumes full responsibility for reviewing, testing, securing, and operating the Software in its environment.
To the maximum extent permitted by law, RSL's aggregate liability is limited to the fees paid under the applicable Order in the 12 months preceding the claim; RSL is not liable for indirect, incidental, or consequential damages.
Upon approval and provisioning, the license is perpetual (forever). Because the Software is delivered as a working lab snapshot with source code, all sales and license grants are final — there is no backing out, no right of cancellation, rescission, or termination by Licensee, and no refunds. Any breach by Licensee of Section 2, 3, or 4 (including deploying across multiple installations on a single license or unauthorized sharing/redistribution of Source) entitles RSL to immediate injunctive relief, damages, and termination of unauthorized installations without any refund. Sections 3, 4, 5, 6, 9, 10, 11, and 12 survive.
Each party protects the other's confidential information. Governed by the laws of the State of California; venue San Diego County, California.
Accepted electronically by the person identified in the application or Order, who represents they are authorized to bind the Licensee.
